OffChain Luxembourg is a "hybrid" organization, bridging the "blockchain world" with the "legal world".
In the former, we have a decentralized organization where people work on their favourite topics in "nodes" and get rewarded with OCLT tokens. These tokens can be staked for governance purposes - therefore at no APR currently, because the "profit" motive would mess the motivations
In the latter, the law expects us to have a centralized governance body, the Board ("Conseil d'administration" in original) that is the main body of the legal entity and is responsible for making decisions.
The Board has met last on June 25th, but with the holidays and all the projects we are running in parallel (check out the three presentations we did at the Hive Summit Aachen), we didn't get around to publish the minutes of that meeting on the blockchain.
Unfortunately, none of us thought of taking any pictures so I'll illustrate with an image we've used for our "Orange Heart" public relations initiative.

Point 1.
The reasoning for offering an employment contract to @inalloush was presented. It was agreed that he'll be offered a 60% (3/5 days) contract for 1980€ gross. Unlimited time with no trial period. This will cost the association 2600€ / month. @inalloush will be paid in HBD, the CCSS and ACD will be paid by @sorin.offchain in € and reimbursed by the asbl in HBD. Payslips will be done by our accountant friend for 15€/mth. After 4 months the situation will be reassessed. If no tangible changes in the financial trajectory of the association can objectively be seen, he'll be notified (2 months notice period). With 6 months of employment he should qualify for ADEM again. Total cost for the asbl will be 18 000€. The decision has been approved unanimously
Point 2.
The situation with the intern was presented and assessed. The decision to terminate the internship at the end of the second month (4th of July) was approved unanimously.
Point 3.
The current status of the Plaza.lu website was presented, a partial payment of 1900 USDT is on-going. No new decision was necessary
Point 4.
The advancement of the Innopay project was presented. No new decision was necessary
Point 5.
The status of the "Stripes" project was presented. No new decision was necessary.
Point 6.
The proposal for a collaboration with Aerdschëff was presented. It has been suggested that the MoU be modified to include a recurring revenu from Bitcoin mining in exchange for maintenance services. The MoU will be modified to this end. The proposal was accepted unanimously.
Point 7.
Our social media presence is stagnating. Our membership is declining: early members tend not to renew, we do not manage to attract new members. And this despite 2 very successful events (Bitcoin Pizza Day on May 22nd and 1st anniversary on June 11th). The MSF opportunity appears to have slipped out of reach.
Overall considerations
We didn't discuss internal organisation matters and governance topics. Absent @chrisinlux , we didn't discuss the Financial controls policy. Meeting started around 19h45 and ended around 21h15
Taking advantage of the late publication of these minutes, I'll publish here an important update on point 1: in the end, @inalloush declined our offer for employment. So on one hand we spared a lot of money, but on the other hand we still have no back-office operation.
